Terms & Conditions

The “Affiliate Agreement” (referred to as the “Agreement”) comprehensively outlines the terms and conditions of the 96partners Affiliate Program. The term “You” or “affiliate” encompasses individuals, groups, or corporate entities registering under this Agreement, including employees, officers, directors, shareholders, owners, controlling parties, and affiliated individuals/entities (with “your” having a corresponding meaning). It is crucial to thoroughly read and comprehend this Agreement. By applying to join the 96 Partners Affiliate Program and subsequently participating, you implicitly agree to these terms and conditions. If you disagree with the terms herein, cease your application or participation. This Agreement supersedes all previous terms and conditions, replacing any relating to the Affiliate Program or prior programs offered by 96 partners. It prevails over all previous agreements with 96 partners or any Group Company.

Definitions and Interpretation

“Affiliate Payment” refers to the revenue share you earn under this Agreement for referring Customers to the Sites. 

• An “Affiliate Site” is your website(s) located at the URLs provided in your Application or updated as notified to 96 partners. 
• The “Application” is your request to join the Affiliate Program. 
• The “Commencement Date” is when 96partners confirms acceptance of your Affiliate Program application.
• In this context, “Company” refers to 96 partners or the Site/s owner/operator. “Confidential Information” includes all data about a party (and any Group Company for 96partners), disclosed directly or indirectly to the other party. 
• This encompasses personal and customer data shared by the Disclosing Party’s employees, advisors, or contractors before or after the Commencement Date.
• “Customers” means all persons who open an account with us. 
• “Good Industry Practice” encompasses the use of skill, diligence, prudence, and foresight that a competent and experienced contractor would typically employ in good faith. 
• It emphasizes adherence to established standards and norms within the industry, ensuring responsible and ethical conduct in professional endeavors.
• “Immediate Family” refers to your spouse, partner, parent, child, or sibling. 
• “IPR” encompasses patents, trademarks, service marks, design rights, trade and business names, goodwill, email addresses, copyrights (including software and databases), inventions, web-formatting scripts (HTML and XML), know-how, trade secrets, and other intellectual property rights worldwide, whether registered or not. 
• This includes rights of reversion and the ability to pursue damages for past infringements.
• “Links” refer to hypertext links (banner or text) connecting to the designated site/s in this Agreement. “Parties” denote the involved entities. 
• The “Program” pertains to the 96partners Affiliate Program. “Sites” encompass 96partners Sportsbook, 96partners Casino, 96 partners Live Dealer, and their alternative domains and URLs.
• Clause headings are for convenience and do not impact the interpretation of the Agreement.
• Phrases like including, include, or in are illustrative and do not limit the preceding words.
• The singular includes the plural and vice versa.
• Reference to a statute or statutory provision includes all orders, regulations, instruments, or other subordinate legislation under that statute.

Limited License

• License Agreement: Grant of personal, non-exclusive, non-transferable limited license to use trademarks on Affiliate Site. License duration tied to the Agreement term. We can engage other parties for similar services without exclusive rights or privileges for referrals. No claims to referral fees for business secured through other entities.
• Trademark Use: License not sub-licensable, assignable, or transferable. Use of trademarks limited to displaying banners. Prohibition against challenging trademark ownership or validity.
• Restrictions: Prohibited from purchasing domains using our trademarks. Restricted from using trademarks for search engine optimization or altering website look and feel. License can be revoked at any time or upon termination of the Agreement.
• Prohibited Actions: Displaying Links outside the Affiliate Site. Displaying data from Links on any electronically accessible medium without written consent. Engaging in fraudulent practices like ‘cookie stuffing. Using Links in a way detrimental to 96 partners. Using Links or Code in “pop-up” or “pop-under” advertising without written consent.

Your Obligations

• Full capacity and authority: You must have the legal authority to enter into the Agreement and associated documents.
• Conduct with skill and care: You are required to act with diligence and adhere to Good Industry Practice.
• Compliance with policies: Follow 96 partners’s policies and guidelines provided or communicated over time.
• Accuracy of information: All information provided in your application must be accurate, and you must promptly update any changes.
• Target audience restrictions: Do not place affiliate links on sites targeting individuals under 18 or residents of Excluded Territories.
• No incentives: You cannot offer any form of incentive to individuals to use the affiliate links.
• Legal authorizations: Ensure you have all necessary authorizations, permits, and licenses to fulfill your obligations under the Agreement.
• Intellectual Property Rights (IPR): Do not challenge or register domain names similar to those owned by 96 partners.
• Content restrictions: Your affiliate site must not contain defamatory, violent, pornographic, unlawful, or discriminatory content.
• Customer compliance: Ensure referred customers abide by the site’s terms and conditions; do not encourage any breaches.
• Affirmation that neither the affiliate nor their immediate family can be customers. And no payment will be made to them under the agreement.
• Agreement to allow monitoring of the affiliate site by 96 partners to ensure compliance.
• Exemption from applicable e-commerce laws or regulations for this agreement.
• The requirement to only present pre-approved content on the affiliate site; any unsuitable content may lead to immediate termination.
• The sole responsibility of the affiliate for the development, operation, and maintenance of the affiliate site, including indemnification of 96 partners for any claims, damages, or expenses related to the site’s activities.

Affiliation Guidelines for 96partners

• Modification or use of IP rights, banners, or creative material without prior written consent is prohibited.
• Participation in the Program requires downloading and placing approved banners, text, or promotional material on the Affiliate Site using specified methods.
• Banners and links must not be placed in unsolicited emails, unauthorized newsgroup postings, chat rooms, or using “bots.” Illegal traffic may result in termination of the Agreement and affiliate account.
• Termination may occur if spamming or false advertising discredits 96partners or the Company.
• Affiliates cannot make claims, representations, or warranties in connection with 96partners or bind the Company to any obligations.
• Use of approved banners and links without alteration is allowed, and any appearance or syntax changes require prior written approval.
• Fraudulent activity may lead to the retraction of commissions paid, and 96partners retain the right to retain amounts due on account of Fraud Traffic.
• Playing at promoted Sites through the affiliate link or that of an associate sharing commissions is prohibited. Violation results in voiding play, eliminating earned commissions, and terminating the affiliate registration.
• Maintaining both affiliate and referral relationships concurrently is not allowed. Violation may lead to the unilateral termination of either or both relationships.

Confidentiality

• Confidential Information Use: Parties must not use Confidential Information for any purpose other than in compliance with the Agreement. Disclosure of Confidential Information to third parties requires prior written consent. Good Industry Practices must be followed to prevent unauthorized use or disclosure.
• Exceptions to Confidentiality Obligations: Confidential Information in the public domain (not by Agreement breach). Obtained from a third party without violating the Agreement. Required disclosure by law or regulatory requirement with prior notice. Information already in possession or independently developed without reference to Confidential Information.
• Authorized Disclosure: Parties may disclose Confidential Information to directors, employees, advisers, and subcontractors within their Group to fulfill Agreement obligations. Recipients must be bound by the same confidentiality obligations.
• Termination of Agreement: Upon termination, each party must either return or destroy all copies of Confidential Information in their possession. Reasonable efforts must be made to destroy electronic copies unless retention is required by applicable law, regulation, or license conditions.

Terminations Terms

The agreement starts on the Commencement Date and continues until either party gives 30 days written notice to terminate. 96partners can terminate immediately if:

1.  You breach any terms of the Agreement.
2.  You cease business, declare bankruptcy, or face liquidation.
3.   96partners stop accepting customers from the territory your Affiliate Site markets to.
4.   Fraudulent traffic or similar methods are detected on your Affiliate Site.

Termination does not affect accrued rights or obligations. Licenses granted to you end upon termination. If terminated, no further payments or revenue share is entitled.
